NON-BINDING WEBSITE LISTING AGREEMENT

Between:
The Radiance Network South West Inc (ABN: 69 670 498 597)
of PO Box 20, Busselton WA 6280
“Radiance”
and
The Service Provider requesting a listing on www.radiancesouthwest.com.au
"Service Provider"
1. DURATION OF AGREEMENT
1.1. This is a non-binding agreement between Radiance and the Service Provider. The agreement will apply from the date of receipt of the completed web form and will continue to apply until termination by either party on the giving of 1 day’s written notice to the other.
2. SCOPE
2.1. Radiance and the Service Provider are committed to maintaining a positive and cooperative working relationship.
2.2. As part of the parties’ mutual commitment, Radiance and Service Provider will act in accordance with the spirit and intent of this agreement, even though neither party intends that it be legally binding.
3. GOALS AND OBJECTIVES
3.1. Radiance supports the Service Provider through collaboration. The Radiance Network aims to provide a platform of service options to support, build resilience, and enhance the emotional wellbeing of parents to strengthen family relationships.
4. ROLES AND RESPONSIBILITIES
4.1. The Service Provider supports Radiance through the following avenues:
a) Up to date information about services provided
b) Up to date contact information
c) Responsibility to maintain accuracy of content on listing
4.2. Radiance will keep the website up to date to ensure easy access to Service Provider’s listing.
5. ADVERTISING AND ANNOUNCEMENTS
5.1. Unless required by law, an announcement, circular or other public disclosure including promotional materials such as newsletters, brochures, flyers or annual reports, referring to the contents or subject matter of this agreement, must not be made or permitted by a party without the prior written approval of the other party.
6. CONFIDENTIALITY
6.1. The parties acknowledge that information disclosed by one party to the other (the disclosing party) in the course of the subject matter of this agreement may be confidential and unless required by law must not be disclosed to a third party except with the prior written consent of the disclosing party.
7. DISPUTE RESOLUTION
7.1. If a dispute or difference arises between the parties out of or in connection with this agreement, either party may give the other a written notice specifying the dispute or difference.
7.2. Within 28 days of the date of the notice, a person holding a position of senior management of each party must meet and undertake negotiations in good faith and on a without prejudice basis with a view to resolving the dispute or difference.
8. VARIATION
8.1. The parties may agree to vary any of the requirements of this agreement. Such agreement must be in writing and signed by both parties.
